Non-Exclusive Song Licensing Agreement
Introduction:This Agreement is made between:
Licensor (Artist)
And
Licensee (Podcast Producer):
1. Grant of License
The Licensor hereby grants to the Licensee a non-exclusive, royalty-free, worldwide license to use the uploaded musical composition and sound recording [the title being the Track name added to the TRACK UPLOADER form] hereinafter referred to as "The Work” in connection with the podcast known as The Unsigned Mixtape (the “Podcast”).
This license includes the right to:
Reproduce, distribute, and publicly perform The Work as part of the Podcast;
Stream, download, or otherwise make the Podcast available on digital platforms (including Spotify, Apple Podcasts, Amazon Music, and YouTube);
Use excerpts of The Work in promotional and marketing materials directly related to the Podcast, including but not limited to audio/video trailers, social media clips, and website features promoting The Unsigned Mixtape.
2. Ownership
The Licensor retains all ownership and copyright in and to The Work. This Agreement does not transfer any ownership, publishing, or performance rights to the Licensee.
3. Term
This license is granted for as long as the Podcast (and its episodes) remains publicly available, unless terminated earlier in writing by either party.
4. Compensation
No payment, fee, or royalty shall be owed or exchanged between the parties. The License is granted free of charge.
5. Credit
The Licensee agrees to provide appropriate credit to the Licensor wherever The Work is used, in a form substantially similar to:“[Song Title]” by [Artist Name], used with permission.
6. Representations and Warranties
The Licensor warrants they are the sole owner or authorized representative of all rights in The Work.
The Licensee warrants The Work will be used only as described herein and will not be altered except for basic production edits.
7. Termination
Either party may terminate this Agreement with written notice. Upon termination, the Licensee will cease using The Work in new episodes or promotional materials, but may continue to distribute previously published episodes containing The Work.
8. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions or agreements relating to the subject matter hereof.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom.
